Licensing Agreement

Institutional Monthly Video Library Subscription Licensing Agreement
This Licensing Agreement ("Agreement") is entered into as of the date of subscription activation ("Effective Date") by and between the Subscriber ("Licensee"), representing an educational or corporate institution ("Institution"), and The Chalkboard Agency ("Licensor").
1. Grant of License
1.1 Licensor grants the Institution a non-exclusive, non-transferable, and revocable license to access and view the video content available in The Chalkboard Agency’s subscription-based video library, titled "The Story Exchange" ("Video Library"), for educational or organizational use by all individuals directly connected to the Institution ("Authorized Users"). Authorized Users are defined as: - Faculty, staff, and administrators (for educational institutions). - Enrolled students (for educational institutions). - Employees, contractors, and consultants actively engaged with the Institution (for corporate institutions). - Other individuals who have a direct relationship with the Institution, as determined by the Institution’s policies.
2. Subscription and Payment
2.1 Licensee agrees to pay a recurring subscription fee as specified at the time of subscription. 2.2 Subscription fees are billed based on the date of the subscription initiation and automatically charged to the Licensee’s designated payment method. 2.3 Failure to pay the subscription fee will result in suspension or termination of access to the Video Library.
3. Access Restrictions
3.1 Authorized Users are limited to those directly connected to the Institution, including staff, faculty, and students (for educational institutions) or employees (for corporate institutions). 3.2 Licensee may not share, distribute, copy, reproduce, or transmit the Video Library content to any third party outside of the Institution. 3.3 Licensee and Authorized Users are prohibited from attempting to download, record, or redistribute any of the video content in the Video Library without Licensor’s prior written consent. 3.4 Access to the Video Library is strictly prohibited for any individuals outside of the Institution. Licensee agrees to take all reasonable measures to prevent unauthorized access. Violation of this restriction, including sharing access credentials or distributing content to unauthorized individuals, will result in immediate termination of this Agreement and may result in legal action to protect the intellectual property rights of The Chalkboard Agency. 3.5 Access to the subscription is limited to a single, designated user per account. You may not share your login credentials, password, or subscription access with any other individual or entity. Unauthorized sharing, distribution, or use of account access constitutes a violation of these Terms & Conditions and may result in immediate suspension or termination of your subscription without refund.
4. Intellectual Property
4.1 All content in the Video Library, including but not limited to videos, graphics, text, and branding, are the intellectual property of The Chalkboard Agency or its licensors. 4.2 Licensee acknowledges that no ownership rights are transferred under this Agreement.
5. Content Disclaimer
5.1 The content provided in The Story Exchange does not necessarily represent the views or opinions of The Chalkboard Agency. 5.2 The views expressed in the content are those of the storytellers, creators, and presenters. 5.3 The Chalkboard Agency's mission is to provide diverse stories without bias for the purpose of discussion, reflection, and application as deemed appropriate by the Licensee. 5.4 Licensee is responsible for reviewing and assessing the content of the videos to determine their suitability for their intended audience. The Chalkboard Agency provides this content for informational and educational purposes only and does not endorse it as prescriptive advice.
6. Termination 6.1
This Agreement will remain in effect until terminated by either party. 6.2 The Chalkboard Agency may terminate this Agreement immediately if Licensee or Authorized Users violate any terms of this Agreement. 6.3 Licensee may terminate the subscription at any time through their account settings.
7. Disclaimers and Limitation of Liability
7.2 The Chalkboard Agency is not liable for any indirect, incidental, or consequential damages arising from Licensee’s or Authorized Users' use of the Video Library.
8. Governing Law 8.1
This Agreement shall be governed by and construed in accordance with the laws of Idaho.
9. Amendments 9.1
The Chalkboard Agency reserves the right to modify the terms of this Agreement. Licensee will be notified of any material changes.
10. Entire Agreement 10.1
This Agreement constitutes the entire understanding between the parties regarding the Video Library subscription and supersedes any prior agreements or representations.
By subscribing to The Story Exchange, Licensee acknowledges and agrees to the terms of this Agreement.
